I agree that I shall not during the Term of my Relationship with the Company, and for a period of twelve (12) months immediately following the Termination Date (less any period I spend on garden leave), whether on my own behalf or in conjunction with or on behalf of any other person, firm, company, business entity or other organisation, (and whether as an employee, director, principal, agent, consultant or in any other capacity whatsoever), directly or indirectly (a) solicit, or (b) assist in soliciting, or (c) accept, or (d) facilitate the acceptance of, or (e) deal with, in competition with the Company, the custom and/or business of any Customer or Prospective Customer:- (i) with whom I have had personal contact or dealings on behalf of the Company or any Associated Company during the 12 months immediately preceding the Termination Date; (ii) for whom I was, in a customer management capacity on behalf of the Company or any Associated Company, directly responsible during the 12 months immediately preceding the Termination Date; or (iii) about whom I had Confidential Information. During the period of restriction under this provision, I also agree not interfere with the relationship which the Company maintains with a Customer or Prospective Customer falling within any of the categories listed in sub-paragraphs (i) to (iii) immediately above. I agree that “Customer” means any person, firm, company or other organisation whatsoever to whom the Company or any Associated Company has supplied products or services in the 12 months prior to the Termination Date; and “Prospective Customer means any person, firm, company or other organisation whatsoever with whom the Company or any Associated Company has had successful negotiations or material discussions regarding the possible supply of services or products by the Company or Associated Company, in both cases with whom I have had access or material contact.
